Terms of Use & User Rules
1. Acceptance of terms
Nextprojex is operated by NextprojeX LLC, a North Carolina limited liability company ("we," "us," "our"). By creating an account or using Nextprojex ("the Service"), you agree to these Terms of Use, our User Rules, and our Privacy Policy. If you use the Service on behalf of a company, you represent that you're authorized to bind that company to these terms. If you don't agree, don't use the Service.
2. Who may use Nextprojex
- You must be at least 18 and using the Service for legitimate professional purposes in the architecture, engineering, construction, or building-supply industry.
- Accounts must be registered under your real legal name and real company. A business email address verifies your company affiliation automatically; a personal address is also accepted, and you can verify later. Disposable or temporary email addresses are not accepted.
- One person per account. No shared, pooled, purchased, or automated ("bot") accounts.
3. Identity, verification & security
- We verify identity signals — including that your email domain matches your stated company — and may require additional verification at any time.
- You are responsible for safeguarding your sign-in. We support and strongly recommend two-factor authentication, available in Settings → Security.
- We may suspend or restrict any account whose authenticity we cannot reasonably confirm, at our sole discretion, with or without notice.
4. Project listings
- Only Owner and Architect accounts may post projects, and only projects they are genuinely connected to and authorized to share.
- Every submission passes through verification (automatic and/or human review). We may decline, remove, correct, or annotate any listing at any time.
- Posting a fake, misleading, duplicate, or unauthorized project is grounds for immediate, permanent termination — no warnings.
- Project information is provided by members. Nextprojex does not guarantee the accuracy, completeness, or timeliness of any listing, and you rely on it at your own risk. Verify independently before bidding, pricing, contracting, or spending money.
4a. Company pages & directory listings
- Nextprojex builds company pages from public and publicly available information so the directory reflects the whole industry, not only the companies that have signed up. A listing is not representation, endorsement, or affiliation, and competitors appear alongside each other.
- No placement is for sale. Nobody can pay to rank higher, to be listed, or to have another company removed or downranked.
- Any company may claim, correct, or request removal of its page free of charge. Full details, the ordering rules, and our conflict-of-interest disclosure are in the Listing, Ranking & Removal Policy.
- Company names and logos identify the companies they belong to; all marks remain the property of their owners.
5. User Rules — conduct
These are strict on purpose. You agree not to:
- Send spam, mass unsolicited messages, or automated outreach. Messaging requires a mutual connection by design; abusing accepted connections is still spam.
- Misrepresent your identity, employer, role, licensure, or relationship to any project.
- Post fake projects, fake reviews, or reviews of people you have not verifiably worked with on a listed project.
- Harass, threaten, defame, or discriminate. Jobsite standards apply: direct is fine, abusive is not.
- Scrape, crawl, harvest, or bulk-export the Service, its listings, or its members' data, by any means.
- Post, import, or upload project data, listings, or other content copied or exported from a paid, subscription, or login-protected service — including competing project-data, plan-room, bid, or lead platforms — in violation of that service's terms, license, or access controls. If you didn't have the right to take it, you don't have the right to post it here.
- Upload malware, infringing documents, confidential material you lack rights to share, or content that violates law.
- Probe, bypass, or interfere with verification, security, rate limits, or access controls.
- Resell, sublicense, or commercialize access to the Service or its data without our written agreement.
6. Reviews & reputation
- Reviews may only be left by members who shared a verified project with the person reviewed. Reviews must reflect your genuine professional experience.
- Reputation scores and rankings are calculated from member reviews and displayed publicly to members. We may remove reviews that violate these terms and may recalculate scores at any time.
- You may not offer or accept anything of value in exchange for reviews.
7. Your content
You retain ownership of content you post (projects, documents, messages, reviews, profile information). You grant Nextprojex a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute that content as needed to operate and improve the Service. This license does not extend to distributing or publicly displaying your private direct messages or documents you upload as confidential to a project (plans, specs, addenda) — we access those only to run the Service, provide support, keep it safe, enforce these terms, or comply with law. We may also create and use aggregated and de-identified insights derived from Service activity (for example, market and project-activity trends) that do not identify you or any individual; this de-identified information is not personal data. You represent that you have the rights to everything you upload — including plans, specs, and addenda — that sharing them here violates no law, contract, or confidentiality obligation, and that you did not take the content from any paid, subscription, or access-restricted service in violation of its terms.
8. Privacy, in plain terms
This is the short version. See our full Privacy Policy for the complete picture, including your state privacy rights.
- We collect what you give us (profile, projects, messages, documents, reviews) and basic usage data needed to run the Service.
- Direct messages are private between participants and are never sold, published, or used for advertising. Authorized personnel may access content when required to investigate abuse, enforce these terms, or comply with law.
- CRM integrations run on your credentials and only push data you explicitly send. Your tokens are stored against your account and used solely to perform the actions you request.
- We do not currently sell member personal data. Because the Service is free, we may in the future sell or share certain categories of personal data to help support and fund it. If we ever do, we'll update our Privacy Policy first, tell you which categories and recipients are involved, and give you a way to opt out — including a "Do Not Sell or Share My Personal Information" link and honoring recognized browser opt-out signals — before any such sale or sharing begins. We will never sell or share your identity-verification data or your direct messages. We use reputable processors (hosting, authentication, email) to operate the Service.
- You may request account deletion at any time; verified project listings and reviews may persist in anonymized or attributed form as part of the professional record where legally permissible.
9. Termination
You may stop using the Service at any time. We may suspend or terminate any account, listing, or content at any time, with or without cause or notice, including for any violation of these terms or any conduct we reasonably believe threatens the authenticity or safety of the network. Sections 4, 7, 10, 11, and 12 survive termination.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEXTPROJEX IS A NEUTRAL PLATFORM: WE ARE NOT A PARTY TO ANY BID, CONTRACT, OR RELATIONSHIP FORMED THROUGH THE SERVICE, AND WE DO NOT VERIFY LICENSURE, BONDING, INSURANCE, OR FITNESS OF ANY MEMBER. LISTINGS AND REVIEWS ARE MEMBER CONTENT, NOT OUR STATEMENTS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTPROJEX AND ITS OWNERS, OFFICERS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE — INCLUDING RELIANCE ON ANY LISTING, MESSAGE, DOCUMENT, OR REVIEW. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless NextprojeX LLC and its owners, officers, and contractors from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, or your violation of these terms or any law or third-party right — including posting a fake or misleading listing, posting content taken from a paid, subscription, or access-restricted service, or sending spam or unsolicited bulk messages.
13. Copyright complaints
If you believe content on the Service infringes your copyright, send a notice with the work identified, the infringing material's location, your contact information, and a good-faith statement to legal@nextprojex.com, or by mail to our copyright agent at NextprojeX LLC, 4030 Wake Forest Rd, Ste. 349, Raleigh, NC 27609. We respond to valid notices, including by removing material and terminating repeat infringers.
14. Changes, governing law & contact
These terms are a contract between you and NextprojeX LLC, a North Carolina limited liability company, 4030 Wake Forest Rd, Ste. 349, Raleigh, NC 27609. We may update these terms; material changes will be posted here with a new effective date, and continued use means acceptance. These terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law rules, and disputes shall be brought in the state or federal courts located in Wake County, North Carolina.
